Terms of Service

Last updated · Osama Saeed, trading as Caprastacks

These are the terms you agree to when you use Caprastacks ERP. They are written to be read — if anything here is unclear, ask before you buy.

1. Who you are agreeing with

Caprastacks ERP is provided by Osama Saeed, trading as Caprastacks, based at Office No. 108, Sajjad Center, H3, Johar Town, Lahore, Pakistan. In these terms, “we” and “us” mean that party, and “you” means the person or business using the software.

2. What the service is

Caprastacks ERP is accounting and inventory software you use through a web browser. It keeps double-entry books for one or more companies, records sales, purchases, payments and stock, and produces financial reports from those records.

It is a tool, not an accountant. We do not check your entries, file anything on your behalf, or give accounting, tax or legal advice. You remain responsible for whether your books are correct and for meeting your own filing obligations.

3. Your account

  • You must be able to enter a binding contract to open an account, and the details you give us must be accurate.
  • Keep your password to yourself. Anything done through your account is treated as done by you.
  • An account can only be signed in on one device at a time. Signing in somewhere else ends the earlier session — this is deliberate, and it means a login is not something to share. Give each person their own.
  • Tell us promptly if you think somebody else has got into your account.

4. Your data belongs to you

Everything you put into Caprastacks ERP — your accounts, customers, suppliers, products, vouchers and reports — is yours. We do not own it, sell it, or use it to train anything.

We hold it in order to run the service for you: to show it back to you, to produce your reports, to back it up, and to fix a problem when you ask us to. What we do with it and who helps us do it is set out in the Privacy Policy.

You can take it out at any time. Every list and report exports to PDF or Excel from the screen it sits on, and the account owner can export a company’s entire dataset from Backups & data. That works on any plan, and it keeps working after a plan has run out — getting your own books out is never something you have to pay to do.

5. Plans, payment and expiry

  • A plan sets how many companies can be active and how many people can use them. Current plans and prices are on the pricing page.
  • Nothing renews automatically. Each plan is bought for a fixed term, monthly or yearly, and we never charge a card again without you choosing to pay. When a term is close to ending we email you; if you do nothing, the term simply runs out.
  • Paying again for the same plan while the current term is still running adds another term on the end. You do not lose time you have already paid for.
  • Moving to a larger plan takes effect straight away and you pay only the difference for the time left. Moving to a smaller one takes effect when the current term ends, for the same reason.
  • Prices are set in US dollars. Your local total is shown before you pay, and your card is charged by our payment provider — we never see or store your card number.
  • Taxes, bank charges or currency conversion fees your own bank applies are yours to bear.

6. Ending it

You can stop whenever you like. There is nothing to cancel to stop being charged, because nothing charges you automatically — you simply do not buy another term. To end sooner, let the term expire or write to osama@caprastacks.com.

When a plan ends, your companies become inactive: you can still sign in, still read your records, and still export everything. What stops is recording new entries. Your data is not deleted because a plan lapsed.

If you want a company genuinely erased, the account owner can ask for that from inside the app. We email a code to confirm it is really you; once you enter it, a seven-day waiting period begins and the company is frozen. You can cancel during those seven days. After that the company’s records are permanently erased and cannot be recovered by us or by you, so export anything you want to keep first. A minimal record of the company’s existence is retained where we are required to keep it for billing and tax purposes.

7. What you must not do

  • Break the law with it, or use it to hide something from someone entitled to see it.
  • Try to reach another customer’s data, or test the boundaries between companies without our written agreement. If you find a way through, tell us — we will thank you for it.
  • Attack, overload or scrape the service, or work around the limits your plan sets.
  • Resell access, or share one login among several people instead of buying seats.
  • Upload anything malicious.

8. Suspension

We may suspend an account that is breaking clause 7, or that is putting the service or other customers at risk. Where we sensibly can, we will tell you first and give you a chance to put it right. Suspension does not remove your right to export your data.

9. Availability, and what we do not promise

We work hard to keep the service up and we take daily backups, but we do not promise a particular uptime figure, and we are a small operation — you should judge us on that basis. Maintenance happens; where it will interrupt you we give notice when we can.

The service is provided as it is. We do not promise it is free of every fault, nor that it fits a specific purpose you have in mind. If a calculation looks wrong to you, check it and tell us — we would rather hear it than not.

10. Liability

Nothing here limits liability where the law does not allow it to be limited, including for fraud.

Otherwise, and to the extent the law allows: we are not liable for lost profits, lost business, lost goodwill, or for records you did not export before erasing them; and our total liability for any claim is limited to what you paid us in the twelve months before the claim arose.

Because your books matter more than our software does, keep your own exports. The tools to do it are free and always available.

11. Changes

We will change the software — that is the point of it being a service. We will not remove a capability your live plan includes without telling you.

If we change these terms in a way that matters to you, we will email the account owner before it takes effect. The date at the top of this page always says when it last changed. Continuing to use the service after a change means you accept it; if you do not, stop using it and export your data.

12. Governing law

These terms are governed by the laws of Pakistan, and the courts of Lahore have jurisdiction over any dispute. Before going to court, please write to us — most things are a misunderstanding and are quicker to fix in an email.
